Terms
These terms cover use of the Baraka Hall website and the commercial nature of Baraka Hall services. Baraka Hall is operated by Baraka Valley Holdings Ltd.
Website use
- Website content is for general information.
- Nothing on the website is legal, financial, technical, security, tax, or professional advice.
- Website content may change without notice.
- Users must not misuse the website, forms, content, or connected systems.
- Submitting an enquiry does not create a contract. Engagements begin only when a written proposal, statement of work, or agreement is signed.
Services
Baraka Hall provides consultancy, diagnostics, website systems, commerce systems, SEO and AEO visibility support, AI and workflow systems, admin systems, tracking and recovery support, managed care, and related digital operating support. Exact services are agreed case by case. Each engagement is governed by a proposal, statement of work, written agreement, invoice, or contract. Public website wording does not automatically include every possible feature. Final scope depends on the commercial model and written agreement.
Commercial models
Depending on the engagement, Baraka Hall may provide audit-only work, fixed-scope builds, managed monthly support, operated systems, client-operated systems, managed licences, lease-to-own arrangements, ownership-transfer models, or custom commercial structures agreed case by case.
- Some clients operate the system themselves after handover.
- Some clients have Baraka Hall operate or manage parts of the system.
- Some systems are provided under a managed licence.
- Some systems are structured as lease-to-own or ownership transfer after agreed payment conditions are met.
- Ownership, access, hosting, support, code rights, documentation, and transfer terms depend on the written agreement.
Internal assets and know-how
Unless expressly agreed in writing, Baraka Hall retains ownership of its reusable methods, frameworks, templates, internal documentation, operating processes, prompts, diagnostic structures, reusable components, and know-how. Client ownership or usage rights apply only to the specific deliverables agreed and paid for under the relevant engagement.
Pricing
- Public prices are starting points or indicative ranges unless stated otherwise.
- Final price depends on scope, integrations, content, data migration, design requirements, workflow complexity, support level, third-party tools, urgency, and client responsibilities.
- Quotes may change if scope changes or new information emerges.
No guarantees
Baraka Hall does not guarantee rankings, traffic, sales, leads, revenue, AI answer engine recommendations, or savings unless specifically measured and verified under a written engagement. Baraka Hall improves structure, clarity, crawlability, machine-readability, workflows, and operational control where scoped.
No misrepresentation of third-party certifications
Any third-party certifications, compliance documentation, or security controls belong to the relevant provider unless expressly stated otherwise. Baraka Hall does not claim independent certification or compliance status unless this is confirmed in writing.
Client responsibilities
- Provide accurate information.
- Provide timely feedback.
- Provide access to relevant systems.
- Confirm legal rights to any content, images, files, brand assets, product data, or third-party materials supplied.
- Review deliverables.
- Pay invoices on time.
- Maintain third-party accounts, subscriptions, domains, hosting, apps, plugins, or licences where required.
- Follow handover and security guidance.
Deposits, cancellations, and refunds
- Deposits may be required to reserve project time, begin discovery, planning, or delivery.
- Refunds are assessed case by case.
- Any refund may be reduced to reflect work already completed, time reserved, strategy or planning already provided, admin time, third-party costs, software costs, supplier costs, transaction fees, and any deliverables already created.
- Once an audit, diagnostic, strategy document, implementation plan, or similar deliverable has been delivered, fees for that work are generally non-refundable unless otherwise agreed.
- Monthly managed care or support may require notice before cancellation.
- Baraka Hall may pause or stop work where invoices are unpaid, access is not provided, or the client materially changes scope.
Baraka Hall aims to be fair, but the business cannot absorb costs for work already completed, time reserved, third-party costs, or strategy already delivered.
For the paid website audit product specifically: once the audit has been prepared and delivered, the fee is non-refundable. If Baraka Hall cannot deliver the audit for reasons within its control, the audit fee will be refunded in full. Where the audit is deemed materially incomplete against the modules purchased, Baraka Hall will remediate or issue a proportionate refund.
Scope changes
- Additional work outside agreed scope requires written approval.
- Changes may affect price and delivery timelines.
- Urgent requests may carry additional cost.
Third-party tools and costs
Domains, hosting, apps, plugins, email platforms, analytics platforms, AI tools, payment providers, fulfilment tools, booking tools, CRM tools, design assets, stock photography, fonts, and other third-party services may be separate costs unless specifically included in the engagement.
AI-assisted work and AI audit disclaimer
- AI tools may assist with research, drafting, workflow planning, analysis, support, automation, or content structuring where appropriate.
- Human review and project-specific judgement remain part of Baraka Hall delivery.
- Clients should not submit highly sensitive information unless needed and agreed.
- AI-related outputs are scoped and reviewed based on the engagement.
The paid website audit is a consultant-style diagnostic assisted by AI systems operated by Baraka Hall. The audit reviews publicly accessible information about your website. It does not access private admin panels, source code, databases, or internal systems. Additional instructions you provide are used to focus the paid modules you have purchased; they do not automatically add unpaid modules. Scores and observations are analytical outputs and are not a guarantee of rankings, revenue, savings, sales, or third-party platform behaviour. Competitor comparison is limited to publicly accessible information about a competitor URL you provide, and you confirm that this use is permitted.
- The Business Systems Opportunity Scan and MAX Audit may recommend workflows, systems, integrations, and automation opportunities based on publicly available business signals and any optional operational context you provide. These are analytical recommendations, not implementations.
- Baraka Hall does not access private customer databases, internal admin panels, financial systems, or private communications during any audit.
- Answers to optional operational questions are context only. They do not add unpaid modules, change the calculated audit price, remove module limits, or trigger a different audit package.
- Where a service is proposed that Baraka Hall does not currently deliver directly, the audit will indicate this clearly and recommend a suitable next step.
Intellectual property
- Client ownership or licence rights apply only according to the written agreement.
- Full ownership transfer, managed licensing, lease-to-own, or limited usage rights may apply depending on the commercial model.
- Client must pay all agreed fees before final ownership transfer or unrestricted use applies, unless otherwise agreed.
Case studies and portfolio
Baraka Hall may show public examples, demos, consented client write-ups, or anonymised work. Real client results, logos, names, or metrics are only used with permission or where properly anonymised and verified. Baraka Hall does not invent proof.
Limitation of liability
To the extent permitted by law, Baraka Hall is not liable for indirect or consequential losses, loss of profit, loss of revenue, loss of goodwill, or loss of data arising from use of the website or the services. Baraka Hall is not responsible for third-party platform outages, policy changes, app limitations, hosting provider issues, search engine algorithm changes, AI answer engine behaviour, payment processor restrictions, or client-side misuse. Nothing in these terms limits liability that cannot be limited under English law.
Governing law
These terms are governed by the laws of England and Wales. Any dispute is subject to the exclusive jurisdiction of the courts of England and Wales.
